1. Parties and Effective Date
1.1 The Parties
This Host Agreement ("Agreement") is entered into between:
PT Next Step Projects ("Finding Retreats", "we", "us", or "our"), an Indonesian limited liability company with its registered office at Banjar Sala, Jalan Buung Said Pura Dalem, Ubud, Pejeng Kawan, Tampaksiring, Kabupaten Gianyar, Bali 80571, Indonesia, holding Business Identification Number (NIB) 1006220038831 and Taxpayer Identification Number (NPWP) 065.745.459.1-905.000;
and
The Host ("Host", "you", or "your"), being the individual or legal entity that registers a Host account on the Finding Retreats platform and accepts this Agreement.
Finding Retreats and the Host are each a "Party" and together the "Parties".
1.2 Effective Date
This Agreement takes effect on the date the Host accepts it during onboarding by clicking the acceptance control on the Finding Retreats platform (the "Effective Date"). By accepting, the Host represents that they have read, understood, and agreed to be bound by this Agreement.
1.3 Relationship to Other Terms
This Agreement is a standalone document that governs the Host's relationship with Finding Retreats. It is separate from, but consistent with, the Finding Retreats Terms & Conditions and Privacy Policy. Where this Agreement conflicts with the general Terms & Conditions on matters specific to Hosts, this Agreement prevails.
The Host also acknowledges and accepts the Stripe Connected Account Agreement as set out in Section 7.6.
2. Definitions
For the purposes of this Agreement, the following terms have the meanings set out below. Capitalised terms used but not defined here have the meanings given to them in the Finding Retreats Terms & Conditions.
"Booking" means a confirmed reservation made by a Guest through the Finding Retreats platform for a Listing offered by a Host.
"Booking Value" or "Gross Booking Value" means the total amount paid by a Guest for a Booking, before deduction of any fees, taxes, refunds, or commission, and excluding any optional add-ons charged by the Host outside the platform.
"Commission" means the percentage of Gross Booking Value retained by Finding Retreats as set out in Section 7.
"Confidential Information" has the meaning given in Section 11.
"Content" means any text, images, video, audio, descriptions, pricing information, availability data, reviews, responses, or other material uploaded, transmitted, or otherwise made available by the Host on or through the platform.
"Guest" means any individual or entity who makes a Booking, or seeks to make a Booking, through the Finding Retreats platform.
"Host" means the individual or legal entity that operates a Host account on the Finding Retreats platform and offers Listings for Booking. The term "Host" is used throughout this Agreement and replaces any prior usage of "Vendor" or similar terms.
"Listing" means a specific Retreat, Service, or Experience published by a Host on the Finding Retreats platform.
"Payout" means the transfer of funds from Finding Retreats (via Stripe Connect) to the Host's connected Stripe account in respect of a Booking, net of Commission and applicable fees.
"Platform" or "Finding Retreats Platform" means the Finding Retreats website at findingretreats.com, any associated mobile or web applications, and any related services operated by Finding Retreats.
"Retreat" means a multi-day wellness, yoga, meditation, healing, or similar programme offered as a Listing. Retreats are subject to a 10% Commission rate (see Section 7).
"Services & Experiences" means single-session, day, or short-format offerings such as classes, treatments, workshops, tours, or experiences offered as a Listing. Services & Experiences are subject to a 20% Commission rate (see Section 7).
"Stripe" means Stripe Payments Europe Limited and its affiliates, the third-party payment processor used by Finding Retreats.
"Stripe Connected Account Agreement" means the agreement between the Host and Stripe that governs the Host's use of Stripe Connect, available within the Stripe onboarding flow.
"UBO" or "Ultimate Beneficial Owner" means any natural person who ultimately owns or controls 25% or more of a Host that is a legal entity, whether directly or indirectly.
3. Host Onboarding and KYC/KYB
3.1 Eligibility
To become a Host, the applicant must:
(a) be at least 18 years of age, or be a legal entity duly registered in its jurisdiction;
(b) have the legal capacity and authority to enter into this Agreement and to offer the Listings they propose to publish;
(c) hold all licences, permits, registrations, and approvals required to operate their Retreats, Services, or Experiences in the jurisdiction where they are delivered; and
(d) not be located in, or operate from, a country or region subject to sanctions that would prevent Finding Retreats or Stripe from providing services.
3.2 Verification (KYC/KYB)
Finding Retreats operates standard Know-Your-Customer ("KYC") and Know-Your-Business ("KYB") onboarding checks. As part of onboarding, the Host agrees to provide:
(a) for individual Hosts: full legal name, date of birth, residential address, government-issued photo identification, and proof of address;
(b) for legal entity Hosts: legal name, registered address, registration number, certificate of incorporation or equivalent, proof of address, and details of authorised representatives;
(c) for all Hosts: bank or payout account details required for Stripe Connect onboarding;
(d) any additional information reasonably requested by Finding Retreats or by Stripe to satisfy regulatory or fraud-prevention requirements.
3.3 Ultimate Beneficial Owner Disclosure
Where the Host is a legal entity, the Host shall disclose every natural person who ultimately owns or controls 25% or more of the entity, whether directly or indirectly (each a "UBO"). For each UBO, the Host shall provide the information described in Section 3.2(a). The Host shall promptly notify Finding Retreats of any change in UBO status.
3.4 Accuracy and Updates
The Host represents that all information submitted during onboarding is true, accurate, and complete. The Host shall update such information without undue delay if any of it changes. Failure to maintain accurate verification information may result in suspension or termination under Section 12 or Section 13.
3.5 Account Security
The Host is responsible for safeguarding the credentials used to access its Host account, and for all activity that occurs under those credentials. The Host shall notify Finding Retreats promptly of any suspected unauthorised access.
4. Listings
4.1 Listing Content and Accuracy
The Host is solely responsible for the content of its Listings, including descriptions, photographs, schedules, inclusions, pricing, availability, cancellation rules, and any other information made available to Guests. All Listing Content must be accurate, current, and not misleading.
The Host shall not publish Content that is unlawful, infringing, fraudulent, defamatory, discriminatory, sexually explicit, or otherwise in breach of the Finding Retreats Terms & Conditions or applicable law.
4.2 Per-Listing Minimum Age
The Host may set a minimum age requirement on a per-Listing basis where appropriate for the nature of the Retreat, Service, or Experience (for example, where the offering involves practices, equipment, or content unsuitable for minors). The minimum age must be displayed clearly on the Listing.
Where a Listing does not specify a minimum age, the default platform minimum applies. The Host is responsible for enforcing the stated minimum age at the point of delivery and may refuse participation, in line with the cancellation rules in Section 8, if a Guest does not meet the stated requirement.
4.3 Pricing and Inclusions
The Host sets its own pricing for each Listing. Prices displayed to Guests are inclusive of any taxes the Host is required to collect, unless the platform separately handles tax collection in the relevant jurisdiction. The Host shall clearly identify what is included in the price and what is offered as an optional add-on.
4.4 Availability and Calendar Accuracy
The Host shall maintain accurate availability information on the platform. Where a Host accepts Bookings outside the platform, the Host shall update platform availability to prevent double-bookings. Finding Retreats is not liable for losses arising from inaccurate Host availability data.
4.5 Intellectual Property in Listings
The Host represents that it owns, or has the necessary rights and permissions to use, all Content it uploads, including photographs, video, music, logos, and text. The Host grants Finding Retreats a worldwide, royalty-free, non-exclusive licence to host, display, reproduce, adapt for technical purposes, and promote the Host's Listings on and through the platform and in connection with marketing the platform.
This licence terminates with respect to active distribution within a reasonable period after the Host removes a Listing or terminates this Agreement, except that Finding Retreats may retain copies as required for legal, audit, dispute, and record-keeping purposes.
5. Booking Acceptance and Confirmation
5.1 Booking Flow
A Guest initiates a Booking by selecting a Listing, providing required details, and submitting payment through the platform. A Booking is considered confirmed when the platform issues a confirmation to both the Guest and the Host, at which point the Host is contractually obliged to deliver the Listing on the agreed dates and terms.
5.2 Acceptance Mechanics
Listings may be configured as instant-book or request-to-book. The configuration is displayed on the Listing.
(a) For instant-book Listings, the Host is deemed to have pre-accepted any Booking that matches the Listing's published availability and rules.
(b) For request-to-book Listings, the Host must respond to a Booking request within the response window displayed on the platform. Failure to respond within the window may result in the request being withdrawn or in adjustments to the Host's response-rate metrics.
5.3 Host Refusal
The Host may decline a request-to-book Booking for any lawful reason. The Host shall not, however, refuse a Booking on grounds that would constitute unlawful discrimination under applicable law.
5.4 Direct Communication with Guests
After a Booking is confirmed, the Host may communicate with the Guest through the platform's messaging tools to arrange logistics, share practical information, and answer questions about the delivery of the Listing. Section 9 (Anti-Circumvention) governs the boundaries of off-platform communication.
5.5 Guest No-Shows
If a confirmed Guest does not attend or arrive for the Listing without timely notice, the Host's published cancellation policy applies. The Host shall record the no-show on the platform so that Payout and any applicable refund are processed correctly.
6. Host Obligations and Insurance
6.1 Standard of Service
The Host shall deliver each Listing:
(a) in accordance with the description published on the platform;
(b) with reasonable care and skill and to a standard that a reasonable Guest would expect;
(c) in compliance with all applicable laws, regulations, licences, and permits, including health, safety, immigration, tax, and consumer-protection rules; and
(d) in a manner that respects Guest dignity, privacy, and safety.
6.2 Health and Safety
The Host shall maintain a safe environment for Guests, including (without limitation) safe premises, equipment in good working order, suitably qualified staff and practitioners, appropriate first-aid provision, and clear emergency procedures. The Host shall inform Guests of any material risks associated with the Listing before participation.
6.3 Insurance
The Host shall maintain, throughout the term of this Agreement, the following minimum insurance cover with reputable insurers:
(a) Public Liability Insurance of at least USD 1,000,000 per occurrence, covering third-party bodily injury and property damage arising from the Host's operations; and
(b) Professional Indemnity Insurance of at least USD 500,000 per occurrence, covering claims arising from the professional services delivered as part of any Listing.
The Host acknowledges that obtaining insurance at these limits within Bali and certain other jurisdictions can be practically challenging. This does not relieve the Host of the obligation. The Host shall make commercially reasonable efforts to secure the required cover, may combine policies to reach the required limits, and shall provide evidence of insurance to Finding Retreats on reasonable request.
6.4 Taxes
The Host is solely responsible for determining, collecting, reporting, and remitting any taxes (including income tax, value-added tax, sales tax, hotel or tourism levies, withholding taxes, and similar) arising from its Listings and from amounts received via the platform. Finding Retreats does not provide tax advice, and any informational figures shown on the platform are not tax advice.
6.5 Independent Contractor Status
The Host operates as an independent business. Nothing in this Agreement creates an employment, agency, partnership, joint venture, or franchise relationship between the Host and Finding Retreats. The Host is responsible for its own staff, contractors, and subcontractors and for all employment-related obligations toward them.
6.6 Compliance with Platform Policies
The Host shall comply with the policies published on the platform from time to time, including the Terms & Conditions, the Privacy Policy, the Content guidelines, and any operational guidance issued to Hosts. Material changes to such policies are subject to the notice provisions in Section 16.
7. Payments, Commission, and Payouts
7.1 Payment Processing
Guest payments are processed through Stripe Connect. Finding Retreats receives the Gross Booking Value into a platform account, retains the Commission and any applicable platform fees, and arranges Payout of the remainder to the Host's Stripe-connected account in accordance with this Section 7.
7.2 Commission Rates
Finding Retreats retains the following Commission, calculated on the Gross Booking Value (that is, the amount paid by the Guest before any fees are deducted):

Where a Listing combines elements from both categories, Finding Retreats will, acting reasonably, apply the rate that best reflects the dominant nature of the Listing or apportion the Booking Value between categories. The applied rate is shown in the Host's booking ledger.
7.3 Stripe Fees
Stripe charges payment-processing fees on each Booking and on each refund. The Host bears all Stripe fees, including:
(a) processing fees on the original Booking; and
(b) fees on any refund issued to the Guest, even where Stripe does not return the original processing fee.
These fees are itemised in the Host's Payout statement.
7.4 Currency
Bookings are processed in the currency displayed at the point of checkout. Where Stripe applies a foreign-exchange conversion to deliver the Payout to the Host's account in a different currency, the Stripe FX rate and any associated FX fees apply and are borne by the Host.
7.5 Payout Timing and Retries
Payout of the net Booking amount to the Host is scheduled for two (2) calendar days after the Listing's event start date. This timing allows for an initial review window before funds are released.
If a Payout attempt fails (for example, due to incorrect bank details or a temporary Stripe issue), Finding Retreats will retry the Payout up to three (3) times in total, at flat intervals of 24 hours between attempts. If all retries fail, Finding Retreats will notify the Host, and the Host shall promptly correct any details required to enable Payout.
7.6 Stripe Connected Account Agreement
The Host acknowledges and agrees that Stripe's services are provided under the Stripe Connected Account Agreement (or its successor), which is a separate agreement directly between the Host and Stripe. The Host shall review and accept that agreement during onboarding.
As evidence of acceptance, Finding Retreats records the Host's tos_acceptance.date (the timestamp at which the Host accepted) and tos_acceptance.ip (the IP address from which acceptance was made) and transmits these to Stripe.
7.7 Refund Mechanics
Refunds are processed in line with Section 8. Commission is reversed in proportion to the amount refunded to the Guest. Stripe fees on the original transaction and on the refund are borne by the Host as set out in Section 7.3.
7.8 Set-Off and Recovery
Finding Retreats may set off amounts owed by the Host to Finding Retreats (including refund liabilities, chargebacks, fraud losses, fines, and Commission on prior Bookings) against any Payouts due to the Host. Where set-off is not sufficient, Finding Retreats may invoice the Host directly and the Host shall pay within thirty (30) days.
7.9 Chargebacks
Where a Guest initiates a chargeback or other payment dispute with their card issuer or bank, Finding Retreats will manage the dispute with Stripe. The Host shall provide all reasonable information and documentation (booking confirmations, Guest communications, evidence of delivery) to support the defence. If the chargeback is upheld against Finding Retreats, the disputed amount, plus any chargeback fees levied by Stripe, may be recovered from the Host under Section 7.8.
8. Refunds and Cancellations
8.1 Cancellation Policies
Each Listing may be assigned a cancellation policy from those made available on the platform. The applicable policy is shown on the Listing and within the Booking confirmation. The Host is responsible for setting an appropriate policy for each Listing.
8.2 Guest Cancellations
Where a Guest cancels a Booking, the refund (if any) is calculated according to the Listing's cancellation policy. The platform will process the refund automatically and adjust Commission and Payout accordingly.
8.3 Host Cancellations
Host-initiated cancellations have a significant negative impact on Guests. Where a Host cancels a confirmed Booking, the Host shall:
(a) provide the Guest with a full refund of the Gross Booking Value;
(b) bear all Stripe fees on the original Booking and the refund, in line with Section 7.3;
(c) be liable to Finding Retreats for any additional reasonable costs incurred in handling the cancellation and assisting the affected Guest; and
(d) accept that repeat Host cancellations may result in suspension or removal under Section 12.
8.4 Force Majeure and Extraordinary Circumstances
Where a Booking cannot be delivered due to extraordinary circumstances beyond the reasonable control of either Party (for example, natural disasters, government-imposed travel restrictions, or comparable events), Finding Retreats may apply an extenuating-circumstances policy that overrides the standard cancellation policy. The Parties shall act reasonably and in good faith.
8.5 Disputes Over Delivery
Where a Guest claims that the Listing was not delivered as described, or fell materially below a reasonable standard, the dispute is handled under the dispute resolution process in Section 15. Where the dispute is upheld in favour of the Guest, Finding Retreats may issue a full or partial refund, and Commission and Stripe fees are handled in accordance with Section 7.
9. Anti-Circumvention
9.1 Purpose
The platform invests significantly in acquiring Guests, providing trust and safety infrastructure, processing payments, handling disputes, and supporting both Parties. Anti-circumvention protections are essential to sustaining the platform.
9.2 Use of Guest Information
The Host shall use Guest contact information and personal data only for the purpose of delivering the specific Booking to which it relates, and only as permitted by the Privacy Policy and applicable data-protection law. The Host shall not add Guests to marketing lists, transfer Guest data to third parties, or use Guest data for any purpose unrelated to the Booking without the Guest's separate, informed consent obtained outside the platform's automated flows.
9.3 Twelve-Month Off-Platform Restriction
For a period of twelve (12) months following the most recent Booking between a Guest and a Host, the Host shall not solicit, encourage, induce, or accept any further Booking from that Guest outside the Finding Retreats platform where the purpose or effect is to avoid Commission on a Booking that would otherwise have been made through the platform.
This restriction:
(a) does not prevent the Host from delivering ordinary post-Booking customer care (for example, answering follow-up questions or providing aftercare related to the original Booking);
(b) does not apply where a Guest, on their own initiative and without solicitation by the Host, contacts the Host for a wholly unrelated reason unconnected with a Booking; and
(c) does not restrict the Host from operating its own marketing channels generally, provided such channels are not used to target individual Guests acquired through the platform.
9.4 Consequences of Breach
A breach of this Section 9 may result in:
(a) recovery from the Host of the Commission that would have applied had the off-platform Booking been made through the platform, plus reasonable administrative costs;
(b) suspension or removal under Section 12; and
(c) termination of this Agreement under Section 13.
10. Reviews and Content
10.1 Guest Reviews
Finding Retreats operates a Guest review system. Reviews submitted by verified Guests are published on the platform and form part of the Host's profile.
10.2 Host Responses
The Host may respond publicly to Guest reviews. Responses must be professional, factual, and consistent with the Privacy Policy. The Host shall not disclose Guest personal data in a public response, threaten or retaliate against a Guest for an honest review, or offer incentives to alter or remove a review.
10.3 Authenticity
Neither Party shall manipulate the review system. The Host shall not submit, solicit, or pay for false reviews, nor offer Guests inducements conditional on submitting a positive review.
10.4 Moderation
Finding Retreats may, at its discretion, remove reviews or responses that breach the platform's content rules, infringe third-party rights, or are unlawful. Finding Retreats does not, as a matter of course, edit the substance of Guest reviews.
10.5 Host Content Beyond Listings
Where the Host contributes other Content (for example, articles, photographs, or videos for editorial or marketing purposes), the licence granted in Section 4.5 applies on the same terms.
11. Confidentiality and Data Protection
11.1 Confidential Information
"Confidential Information" means any non-public information disclosed by one Party to the other in connection with this Agreement that is identified as confidential or that a reasonable person would understand to be confidential, including platform analytics, financial information, Guest data, commercial terms, and operational practices.
11.2 Obligations
The receiving Party shall:
(a) use Confidential Information only for the purposes of performing this Agreement;
(b) protect it with at least the same care as it uses for its own confidential information, and in any event with reasonable care;
(c) not disclose it to third parties except to employees, contractors, advisors, and service providers who have a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement; and
(d) return or securely destroy Confidential Information on termination, except where retention is required by law or for legitimate audit, dispute, or record-keeping purposes.
11.3 Exclusions
Confidential Information does not include information that:
(a) is or becomes publicly available without breach of this Agreement;
(b) was lawfully known to the receiving Party without confidentiality obligations before disclosure;
(c) is independently developed without use of the disclosing Party's Confidential Information; or
(d) is required to be disclosed by law, regulation, or order of a competent authority, in which case the receiving Party shall, where lawful, give prompt notice to the disclosing Party.
11.4 Data Protection
In handling Guest personal data, the Host shall comply with all applicable data-protection laws, including Indonesia's Law No. 27 of 2022 on Personal Data Protection (UU PDP) and, where applicable, the EU General Data Protection Regulation (GDPR) and equivalent laws in other jurisdictions where the Host operates or where Guests are located.
The Host shall:
(a) process Guest personal data only for the purposes of delivering the Booking and complying with legal obligations;
(b) implement appropriate technical and organisational security measures;
(c) not retain Guest personal data longer than necessary;
(d) honour Guest rights of access, correction, deletion, and objection where applicable; and
(e) notify Finding Retreats without undue delay of any personal-data breach affecting Guest data.
The Host and Finding Retreats may act as independent controllers, joint controllers, or in a controller-processor relationship depending on the activity. The detail of these arrangements is described in the Privacy Policy and may be supplemented by a separate data-processing addendum where required.
12. Suspension and Removal
12.1 Grounds for Suspension
Finding Retreats may suspend a Host account, individual Listings, or the Host's ability to receive new Bookings or Payouts where Finding Retreats reasonably believes that:
(a) the Host has breached this Agreement, the Terms & Conditions, the Privacy Policy, or applicable law;
(b) the Host's continued operation on the platform poses a material risk to Guests, to other Hosts, to Finding Retreats, or to the platform's integrity;
(c) Stripe has restricted, frozen, or terminated the Host's connected account;
(d) verification information is missing, outdated, or appears inaccurate; or
(e) suspension is required to investigate a suspected breach or to comply with legal process.
12.2 Notice and Duration
Where practicable, Finding Retreats will notify the Host of a suspension and its reasons, and will engage with the Host to resolve the issue. Where immediate suspension is necessary to protect Guests or the platform, notice may be given immediately after the action is taken.
The duration of any suspension is at Finding Retreats' reasonable discretion, having regard to the seriousness of the issue and the steps required to resolve it.
12.3 Suspended-Host Fallback for Active Bookings
Where Finding Retreats suspends a Host that has confirmed Bookings yet to be delivered, Finding Retreats shall, within forty-eight (48) hours of the suspension:
(a) notify each affected Guest of the situation in a clear and non-prejudicial way; and
(b) offer each affected Guest a full refund of the Gross Booking Value of their Booking.
Stripe fees and Commission reversals on such refunds are handled in accordance with Section 7. This Section 12.3 does not entitle the Host to compensation for lost revenue or related costs arising from the suspension.
12.4 Removal of Listings or Content
Finding Retreats may remove or unpublish any Listing or Content that breaches this Agreement, the Terms & Conditions, applicable law, or third-party rights. Where the issue can be remedied, Finding Retreats will, where reasonable, allow the Host an opportunity to correct it before removal.
13. Termination
13.1 Termination by the Host
The Host may terminate this Agreement at any time by closing its Host account through the platform, provided that:
(a) all confirmed Bookings are either delivered or cancelled in accordance with this Agreement and the applicable cancellation policies;
(b) all amounts owed to Finding Retreats or to Guests are settled; and
(c) the Host complies with the surviving obligations in Section 13.4.
13.2 Termination by Finding Retreats
Finding Retreats may terminate this Agreement:
(a) for convenience, on thirty (30) days' written notice to the Host; or
(b) immediately, where the Host has materially breached this Agreement and has not remedied the breach within a reasonable period after notice (or where the breach is incapable of remedy), or where immediate termination is required by law, regulation, or the actions of Stripe or another essential service provider.
13.3 Effect of Termination
On termination:
(a) the Host's Listings will be unpublished and no new Bookings may be made;
(b) confirmed Bookings remaining undelivered at termination shall be delivered, cancelled, or refunded under Section 8 and (where applicable) Section 12.3;
(c) outstanding Payouts due to the Host will be released subject to retention of any amounts required to meet refund liabilities, chargebacks, or other obligations under this Agreement; and
(d) amounts owed by either Party to the other shall be settled within a reasonable period.
13.4 Surviving Provisions
The following provisions survive termination of this Agreement: Section 2 (Definitions), Section 4.5 (Intellectual Property in Listings, to the extent stated), Section 7.7 to 7.9 (refunds, set-off, chargebacks), Section 9 (Anti-Circumvention, for the 12-month period defined therein), Section 11 (Confidentiality and Data Protection), Section 14 (Liability and Indemnity), Section 15 (Dispute Resolution), and Section 16 (General Provisions), together with any other provision that by its nature is intended to survive.
14. Liability and Indemnity
14.1 Host's Primary Responsibility
The Host is primarily and directly responsible for the Listings it offers and for the Retreats, Services, and Experiences it delivers. Finding Retreats is a technology platform that facilitates discovery, booking, payment, and communication; it is not a party to the underlying service contract between the Host and the Guest.
14.2 Limitation of Finding Retreats' Liability
To the maximum extent permitted by applicable law:
(a) Finding Retreats' aggregate liability to the Host under or in connection with this Agreement, whether in contract, tort (including negligence), under statute, or otherwise, in any twelve-month period, shall not exceed the greater of:
(i) the total Commission paid by the Host to Finding Retreats during that twelve-month period; or
(ii) USD 500.
(b) Finding Retreats shall not be liable to the Host for any indirect, special, incidental, consequential, exemplary, or punitive damages, nor for loss of profit, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, or loss or corruption of data, in each case howsoever arising.
(c) Nothing in this Section 14 limits any liability that cannot be excluded or limited by applicable law (for example, liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence).
14.3 Host Indemnity
The Host shall indemnify, defend, and hold harmless Finding Retreats, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
(a) the Host's Listings, including their delivery, non-delivery, or quality;
(b) any actual or alleged injury, illness, loss, or damage suffered by a Guest or third party in connection with a Listing;
(c) the Host's breach of this Agreement, the Terms & Conditions, the Privacy Policy, or applicable law;
(d) the Host's Content infringing or misappropriating any third-party right;
(e) the Host's failure to pay applicable taxes; or
(f) the Host's breach of Section 9 (Anti-Circumvention).
14.4 Conduct of Claims
Finding Retreats shall promptly notify the Host of any claim subject to indemnification, allow the Host to control the defence (with counsel reasonably acceptable to Finding Retreats), and cooperate reasonably in the defence. Finding Retreats may participate in the defence at its own expense. The Host shall not settle any claim that imposes obligations on Finding Retreats or admits Finding Retreats' liability without Finding Retreats' prior written consent.
14.5 Insurance Backstop
The insurance required under Section 6.3 is intended to operate as a primary financial backstop for the Host's indemnity obligations under this Section 14. Failure to maintain the required insurance does not reduce the Host's indemnity obligations.
15. Dispute Resolution
15.1 Internal Resolution First
Where a dispute arises between Finding Retreats and the Host, the Parties shall first attempt to resolve it through good-faith discussion. The Host shall raise the dispute with Finding Retreats by writing to [email protected]. Finding Retreats shall acknowledge the dispute promptly and engage with the Host to seek resolution.
15.2 Guest-Host Disputes
Disputes that originate between a Guest and a Host (for example, complaints about delivery, refund requests, or quality concerns) are handled through the platform's dispute-resolution flow. The Host shall participate in this flow constructively, respond within the timeframes set by the platform, and provide reasonable evidence and explanation. Finding Retreats may make a final operational determination on such disputes in accordance with Section 8 and this Agreement.
15.3 Escalation
If a dispute between Finding Retreats and the Host is not resolved through internal discussion within thirty (30) days of being raised in writing, either Party may escalate it as set out in Section 15.4.
15.4 Governing Law and Forum
This Agreement, and any non-contractual obligations arising out of or in connection with it, are governed by the laws of the Republic of Indonesia.
The Parties submit to the exclusive jurisdiction of the competent courts of the Republic of Indonesia, sitting in Denpasar, Bali, for the resolution of any dispute that is not resolved through the processes in Sections 15.1 to 15.3, save that Finding Retreats may bring proceedings to enforce its rights (including injunctive relief) in any competent jurisdiction.
15.5 Equitable Relief
Either Party may seek injunctive or other equitable relief in any competent court to protect its intellectual property rights, Confidential Information, or rights under Section 9 (Anti-Circumvention), without first exhausting the internal resolution process.
16. General Provisions
16.1 Notices
Notices under this Agreement shall be in writing and sent to:
(a) Finding Retreats, by email to [email protected], with operational matters copied to [email protected] and dispute matters copied to [email protected]; and
(b) the Host, at the email address registered on the Host's account or, where applicable, through the in-platform notification system.
Notices are deemed received on the next business day after sending, unless a delivery failure is received.
16.2 Changes to this Agreement
Finding Retreats may update this Agreement from time to time. Where a change is material, Finding Retreats shall give the Host at least thirty (30) days' advance notice through the platform or by email. Material changes include, without limitation, changes to Commission rates, Payout timing, the anti-circumvention restriction, the liability framework, or termination rights.
Non-material updates (such as clarifications, typographical corrections, or changes required to reflect updated operational tooling) take effect on posting.
If the Host does not accept a material change, the Host may terminate this Agreement under Section 13.1 before the change takes effect. Continued use of the platform after the change takes effect constitutes acceptance.
16.3 Assignment
The Host shall not assign, novate, or transfer this Agreement or any rights or obligations under it without Finding Retreats' prior written consent. Finding Retreats may assign or novate this Agreement to an affiliate, to a successor in connection with a merger, acquisition, or sale of substantially all of its business, or as part of a corporate reorganisation.
16.4 Subcontracting
Finding Retreats may use subcontractors and service providers (including Stripe, Resend, hosting providers, and analytics providers) to perform parts of its obligations. Finding Retreats remains responsible to the Host for the acts and omissions of such subcontractors in connection with this Agreement.
16.5 Entire Agreement
This Agreement, together with the documents it expressly incorporates by reference (including the Terms & Conditions, the Privacy Policy, and the Stripe Connected Account Agreement to the extent applicable to the Host's use of Stripe), constitutes the entire agreement between the Parties on its subject matter and supersedes all prior agreements, understandings, and communications on that subject matter.
16.6 Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remainder of the Agreement remains in full force and effect, and the invalid provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.
16.7 No Waiver
A failure or delay by either Party to exercise a right or remedy under this Agreement is not a waiver of that right or remedy. A waiver of any breach is not a waiver of any subsequent breach.
16.8 Language
This Agreement is executed in English. Finding Retreats may publish a Bahasa Indonesia translation. In the event of any conflict or inconsistency between the English version and any translation, the English version prevails, except where applicable law (including Indonesian Law No. 24 of 2009 on the Flag, Language, Coat of Arms, and National Anthem) requires otherwise, in which case the Parties shall act in good faith to interpret the two versions consistently and, failing that, to apply the English version to the maximum extent permitted by law.
16.9 Third-Party Beneficiaries
Except as expressly stated, no person other than the Parties has any right to enforce any term of this Agreement.
16.10 Force Majeure
Neither Party is liable for failure or delay in performing this Agreement (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, war, civil disturbance, government action, pandemic, or failure of essential third-party infrastructure. The affected Party shall give prompt notice and use reasonable efforts to mitigate the impact.

Host–support communications relating to day-to-day operations are handled through the in-platform messaging tools provided to Hosts.
17. Acknowledgment and Acceptance
By clicking "I Agree" (or an equivalent acceptance control) during Host onboarding on the Finding Retreats platform, the Host acknowledges that they have:
(a) read and understood this Agreement in full;
(b) had the opportunity to seek independent legal, tax, and insurance advice before accepting it;
(c) the legal capacity and authority to enter into this Agreement, including (where the Host is a legal entity) the corporate authority of the individual accepting on the entity's behalf;
(d) reviewed and accepted the Stripe Connected Account Agreement as part of the Stripe Connect onboarding flow, and acknowledged that Finding Retreats will record tos_acceptance.date and tos_acceptance.ip as evidence of that acceptance;
(e) reviewed the Finding Retreats Terms & Conditions and Privacy Policy and accepted them as they apply to the Host's use of the platform; and
(f) agreed to be legally bound by this Agreement from the Effective Date.
